FTC speeds ADC, Andrew merger

July 6, 2006 -- The FTC has granted early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, thus ending the FTC's review of the proposed merger of the companies.

According to a press release issued by the companies, the Federal Trade Commission (FTC) has informed ADC and Andrew Corp. that the FTC has granted early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, thus ending the FTC's review of the proposed merger between the two companies, which was announced on May 31, 2006.

The waiting period was to expire at midnight on July 14, 2006.

The merger is subject to antitrust filings in certain foreign countries. The merger is also subject to approval by the shareholders of ADC and Andrew and certain other closing conditions set forth in the merger agreement that must be satisfied or waived before the merger can be consummated.
