August 20, 2004 - John Peeler will replace Michael Arbuthnot.

Acterna, Inc. has announced that its president and CEO, John Peeler, has been named acting CEO of subsidiary da Vinci Systems. He replaces Michael Arbuthnot, who has decided to leave the company to pursue new interests.

Acterna also announced it will make new investments in management and engineering resources to strengthen da Vinci's color enhancement and restoration product lines. As the first step in this initiative, it has appointed industry veteran Bill Robertson as vice president of marketing and product management.

"As a leader in film and video color enhancement, da Vinci is well positioned to capitalize on trends that are driving new growth opportunities in the industry," says Hank Bonde, chairman of Acterna, Inc. "Specifically, as film and video production teams move toward more digital workflow, da Vinci is poised to lead the collaboration necessary from the start of a project to the final stages of color enhancement in a post-production house. John, who will lead the organization as we search for a permanent CEO, and Bill, with over 20 years of video industry experience, are well suited to help da Vinci capitalize on these opportunities."

Peeler has more than 26 years of communications industry experience and also serves as president and CEO of Acterna, Inc.'s communications test business. In addition to Robertson, the other members of da Vinci's senior management team reporting to Peeler are Peter Glassberg, vice president of sales; Henry Gu, vice president of engineering; and Bob Silva, vice president of finance and operations.

Robertson joins da Vinci from the Cable Networks Division of Acterna, Inc.'s communications test business where he served as vice president of marketing. He will oversee the market development and promotion of da Vinci's entire COLOR and RESTOR product families. He joined Acterna from Vela Research, where he most recently held the position of executive vice president of marketing. During his tenure at Vela Research, Robertson also contributed in various roles as president of the company's broadcast and systems division, senior vice president of technology, and chief technical officer of the broadcast products division. Robertson also has held senior management positions at Frontline Communications, Starnet Development Inc., and Dynatech Video
Group.

"This is a very exciting time in the post-production industry as we transition from a telecine-oriented workflow to a networked, digital collaboration," says Robertson. "I'm pleased to join my friends at da Vinci at a time when we will be able to contribute to a literal transformation in the way films and television programming are assembled."

da Vinci Systems, an Acterna, Inc. company, provides SDTV, HDTV, data, and digital film color enhancement technology and film restoration products to the worldwide post-production marketplace.
